These Terms of Service ("Terms") govern your access to and use of the website located at capitaleliteconsulting.com (the "Site") and any services offered by Only Prime Group Inc. d/b/a Capital Elite ("Company," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated effective date. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.

1. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

The content published on this Site, including all written materials, service descriptions, articles, and advisory frameworks, is provided for general informational and educational purposes only. Nothing on this Site constitutes, and should not be construed as:

• —Investment advice, securities recommendations, or financial planning services regulated under the Investment Advisers Act of 1940
• —Accounting services or CPA services

Capital Elite provides strategic advisory, business structuring guidance, and capital positioning consultation. All advisory engagements are informational in nature. Clients are solely responsible for their own financial, legal, and business decisions. We strongly recommend consulting licensed attorneys, CPAs, and registered financial advisors before making any significant financial or legal decisions.

Past advisory results described on this Site are illustrative only and do not guarantee future outcomes. Individual results will vary based on business circumstances, market conditions, and other factors beyond our control.

3. Consultation Booking Terms

Consultation appointments may be scheduled through our booking platform (Calendly). By booking a consultation, you agree to the following:

Scheduling and Cancellations

• —Appointments must be scheduled in advance through the designated booking link
• —You may reschedule or cancel an appointment at any time prior to the scheduled session through the Calendly platform
• —We reserve the right to reschedule consultations in the event of scheduling conflicts or unforeseen circumstances
• —No-shows without prior cancellation may result in forfeiture of any prepaid session fees

Scope of Consultations

• —Initial consultations are exploratory in nature and do not establish a formal advisory relationship
• —A formal engagement requires a separate written agreement between you and Capital Elite
• —Information shared during consultations is treated as confidential by Capital Elite

4. Payment and Refund Terms

Capital Elite may offer paid advisory services and consultation packages. When payment processing is active (via Stripe), the following terms apply:

Payment

• —All fees are quoted in U.S. Dollars (USD)
• —Payment is due at the time of booking or as specified in your engagement agreement
• —We use Stripe, Inc. for secure payment processing. Capital Elite does not store payment card information
• —All transactions are subject to Stripe's Terms of Service

Refunds

• —Refund requests for prepaid consultations must be submitted at least 24 hours before the scheduled appointment
• —Refunds for completed consultations are not available unless there was a material failure to deliver the agreed service
• —Refunds for retainer or engagement agreements are governed by the terms of the individual engagement contract
• —We reserve the right to issue refunds at our sole discretion in cases of extenuating circumstances

5. Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, icons, images, advisory frameworks, written materials, and the overall design and compilation of the Site — is the exclusive property of Only Prime Group Inc. d/b/a Capital Elite or its content suppliers and is protected by United States and international copyright, trademark, and intellectual property laws.

The Capital Elite name, globe logo, and all associated branding elements are proprietary marks of Only Prime Group Inc. You may not use, reproduce, distribute, modify, or create derivative works from any content on the Site without our express prior written consent.

You are granted a limited, non-exclusive, non-transferable license to access and view the Site for your personal, non-commercial use only. This license does not include the right to download, copy, or modify any materials except as expressly permitted.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Only Prime Group Inc. d/b/a Capital Elite, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or other intangible losses, arising out of or related to:

• —Your access to or use of (or inability to access or use) the Site
• —Any content obtained from the Site
• —Any advisory information or guidance provided through consultations
• —Unauthorized access to or alteration of your transmissions or data
• —Any other matter relating to the Site or our services

In no event shall our total liability to you for all claims arising out of or related to these Terms or your use of the Site exceed the greater of (a) the amount you paid to Capital Elite in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

7. Disclaimer of Warranties

The Site and all content, services, and information provided through it are offered on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Third-Party Links

The Site may contain links to third-party websites, including Calendly, Stripe, and other service providers. These links are provided for convenience only. Capital Elite does not control, endorse, or assume responsibility for the content, privacy practices, or terms of any third-party website. Your use of third-party sites is at your own risk and subject to their respective terms and policies.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico and the federal laws of the United States of America, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the matter to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in English. The arbitration shall take place in Puerto Rico or via remote proceedings as mutually agreed.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

10. Indemnification

You agree to defend, indemnify, and hold harmless Only Prime Group Inc. d/b/a Capital Elite and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including but not limited to any content you submit, post, or transmit through the Site.
